Every local Tonga company and every overseas company registered to do business in Tonga must file an annual return. Failure to file this return will result in the company being struck off the register. All companies are required to file in each calendar year. However, a company is not required to file an Annual Return in the calendar year of its incorporation.
The reminder
The Registrar sends reminders out to companies when the annual return is about to come due. If you have authority over your company to submit online filings you will receive this reminder by an email on the first day of your annual return filing month. Filing an annual return online for the first time
If you have never used the Business Registries website, you will first need to create a user account. Once you have done this, search for your company, and click request authority. Once you obtain authority for the company you will be able to submit the annual return online.
Information required to complete the annual return
Filing an annual return is an opportunity to confirm and update information held on the Register about the company. Some of the details you will be required to provide are:
- Company address details
- Location of the share register if divided
- Location of records if not held at the registered office
- Company director details
- Share parcel details
- Shareholder details including any transfers
Late fees and Removal
You have one month to submit your annual return. After that time you will have to pay a late fee. If your annual return is more than 6 months late, your company will be removed from the company register.
